Terms and Conditions (GTC)

1 General

The following general terms and conditions apply exclusively to business dealings with Altec Electronic AG. these are binding for all current and future business dealings with Altec Electronic AG, even without special reference. Deviations must be made in writing. Deviating general conditions of the contractual partner of Altec Electronic AG are legally ineffective, even if they
remain unchallenged.

2. Offer and prices

2.1 All offers are non-binding. Altec Electronic AG reserves the right to withdraw from the contract without compensation even after its order confirmation, provided that it is unable to obtain the goods from its supplier or is available with a delay.

2.2 The base costs of Altec Electronic AG known at the time of the order confirmation form the basis for the agreed prices. In the event of a subsequent increase in the production costs, in particular in the event of price increases on the part of suppliers, a proportional price adjustment is made.

3. Delivery

3.1 The information provided by Altec Electronic AG about the weight and dimensions of the goods and packaging are non-binding. Part deliveries are permitted; in such cases the buyer has to pay for each partial delivery in accordance with the terms of payment of Altec Electronic AG.

3.2 Acceptance of the execution of orders can be made dependent on security, prepayment or cash on delivery. The resulting expenses for the interest / exchange rates are borne by the buyer.

3.3 Altec Electronic AG assumes no liability if the delivery times are exceeded. Delays in delivery only entitle the buyer to withdraw from the contract if a reasonable grace period has been set no earlier than 4 weeks after the delivery date has expired.

4. Payment terms

4.1 Subject to Section 3.2, invoices plus VAT are payable within 30 days without any deductions. When paying by bill of exchange, Altec Electronic AG is entitled to demand the usual bank discount charges. Bills of exchange and check only count as payment when they are redeemed.

4.2 The buyer's right to offset is expressly excluded. The due date of the purchase price is not influenced by alleged defects.

5. Drawings and documents

Altec Electronic AG reserves sole ownership and copyright to all drawings, drafts, cost estimates and other documents. Such documents are considered personally entrusted to the buyer and his employees. They may not be made accessible to third parties or copied without the written consent of Altec Electronic AG. They are to be returned to Altec Electronic AG upon first request.

6. Warranty and liability for defects

Altec Electronic AG provides a warranty for 6 months from the dispatch of the goods, in that in the event of defects (at Altec Electronic AG's option) there is a right to delivery of faultless goods or free repairs. Any further guarantee, in particular for direct and indirect damage, is excluded. The guarantee does not apply if the terms of payment are not adhered to or if the buyer or a third party has made changes or repairs to the delivered goods.

7. Place of performance and jurisdiction

7.1 The place of performance is CH-8954 Geroldswil. Swiss law is exclusively applicable to any disputes. The United Nations Convention on Contracts for the International Sale of Goods (Vienna Sales Law) of April 11, 1980 is excluded.

7.2 The place of jurisdiction is Zurich
